Terms & Conditions

1. Scope of Services

• The Agency agrees to provide Digital Marketing Services including but not limited to SEO, PPC (Google & Social Media Ads), Social Media Management, Content Marketing, Website Development, and Graphic Designing as per the agreed proposal. 
• Any additional work beyond the agreed scope will be subject to additional fees and require written approval from both parties Ex. Landing page, post creation, logo designing etc. 
• Creating multiple campaigns will require some time, as each campaign typically takes 5–7 days. The overall timeline will be managed accordingly.
• Work will commence from the date the client reverts via email or signs/finalizes the agreement. The initial research, audit, and planning phase will take 5-7 days and will be considered as billable work.
• As part of our Paid Ads Marketing strategy, it’s essential to maintain a consistent ad budget within the ad accounts to achieve optimal results. Inconsistent budgeting can negatively impact campaign performance, leading to higher costs per result and faster budget depletion
• For optimal results, continuing with our services for a minimum of three months.
• Digital marketing only helps business to reach their target audience and showcase their products and services. However, there is no guarantee of specific sales or results, as platforms and algorithms are continuously evolving.
• Any work requested beyond the agreed scope of work will be chargeable and paid by the client as per actual cost within 3 working days.
• The Agency reserves the right to provide complimentary services at its discretion
• Everything which is not included, is excluded.

2. Fees, Payments & Taxes

• Clients must make payments as per the agreed contract. A 100% advance payment is required to initiate the project.
• If any mutual payment terms are decided, the remaining balance must be cleared as per the agreed payment schedule. 
• Any delayed payments beyond 7 days from the due date will attract a late fee of 2% per week. • All government taxes (GST, TDS, etc.) shall be borne by the client and must be paid as per applicable laws. 
• Fees will be revised as per inflation, with a minimum increase of 10% and up to 30% annually as per mutual agreement.
• Payments can not be refunded/ adjusted/ transferred as per company policy.
• No refunds for partial months, unused deliverables, or campaign performance.

3. Project Timelines & Delivery

• The Agency will follow a mutually agreed timeline for project completion. 
• Any delays caused due to client unresponsiveness, lack of approvals, or changes in project requirements will not be the responsibility of the Agency. 
• In case of unavoidable delays from the Agency’s end, a revised timeline will be communicated in writing. 
• All projects and services are provided on a monthly basis (30 days). Once the month is completed, the client must renew the project for continued service. No refunds will be provided.
• Unused deliverables do not roll over to the next month.

4. Client Responsibilities

• The client must provide all necessary materials, access credentials, and approvals on time for the successful execution of the project. 
• The client is responsible for ensuring that all provided content (logos, images, videos, and text) is legally owned or licensed for use. The Agency will not be liable for copyright infringements caused by client-provided materials. 
• Clients must maintain professional and respectful communication with the Agency’s team and departments. Any misbehavior, rude communication, or unprofessional conduct may lead to delays in project delivery, and the Agency reserves the right to suspend work, seek compensation, or take legal action.

5. Intellectual Property & Ownership

• All content, designs, and marketing materials created by the Agency shall remain the property of the Agency until full payment is received. 
• Upon full payment, ownership of completed deliverables will be transferred to the client, excluding proprietary tools, methodologies, and templates used by the Agency. 
• The Agency reserves the right to use completed projects in its portfolio for marketing purposes unless explicitly prohibited in writing by the client. 
• The Agency reserves the right to mention its brand name on social media accounts managed by the Agency.
• The Agency may use project work and case studies for future portfolio showcases.

6. Confidentiality & Data Protection

• Both parties agree to keep confidential any sensitive business information shared during the course of the project. 
• The Agency shall not disclose client data to third parties without written consent, except as required by law. 
• The Agency will securely handle and use the client’s credentials strictly for the purpose of delivering services. These credentials will not be used for any personal activities or unauthorized access. 
• As the client is the sole admin of digital assets, the team may request login codes multiple times for smooth service delivery. If admin rights are transferred to the Agency, they will be returned upon project completion.

7. Platform Limitations & Disclaimers

Our services are executed across multiple digital platforms such as Google, Facebook, Instagram, YouTube, etc. These are third-party platforms that continuously evolve, and may at times experience bugs, glitches, or updates beyond our control, which can impact performance or results. Examples include (but are not limited to):

• Ad budgets being spent with little or no results, or results that do not meet expectations in terms of quality or quantity.
• Posts failing to publish, being deleted, appearing misaligned, losing captions, or facing other technical issues. 
• SEO rankings fluctuating due to Google algorithm updates, website changes, or other external factors. 
• Any additional bugs, glitches, or platform-level changes not known at the time of service delivery that may also affect performance.

The agency will make every reasonable effort to minimize these issues, but we cannot be held liable for platform-related limitations or disruptions.

8. Termination & Cancellation

• Either party may terminate the contract with a 30-day written notice. However, the client must pay for all services rendered up to the termination date. 
• In case of early termination by the client, no refunds will be provided for work already completed or expenses incurred. 
• If the client fails to make payments as per the agreement, the Agency reserves the right to suspend or terminate services immediately without liability.

9. Limitation of Liability

• The Agency shall not be held liable for any direct, indirect, incidental, monetary, or physical damages arising from the use of its services. 
• If any social media pages, Meta accounts, Google Ads accounts, YouTube channels, or other relevant platforms related to our services are suspended, blocked, or restricted by the respective authorities, the Agency shall not be held responsible for such actions. 
• The Agency manages advertising budgets on behalf of the client using platforms such as Meta and Google Ads. In case funds get stuck or refunds are not processed by these platforms, the Agency shall not be liable for the recovery of such amounts. 
• The Agency does not guarantee specific results (such as rankings, leads, or conversions) as digital marketing success depends on various external factors.

10. Dispute Resolution

• Any disputes arising from these terms shall be first resolved through negotiation and mutual discussion. 
• If no resolution is reached, the matter will be settled through arbitration as per the applicable laws of CGST Delhi East.

11. Governing Law

• These Terms & Conditions shall be governed by and interpreted in accordance with the laws of INDIA, DELHI.

12. Agreement & Acceptance

• The client agrees to these Terms & Conditions by signing this document and sending their acceptance via email. 
• No work shall commence until the signed agreement and initial payment have been received.
